Terms of Service

These Terms of Service (the “Terms”) govern your access to and use of Bellows (the “Service”), a multi-tenant CRM and marketing-automation platform operated by Babz Studios (“Babz Studios,” “we,” “us,” or “our”). By creating an account, accessing, or using the Service, you agree to be bound by these Terms. If you are using the Service on behalf of a business, you represent that you are authorized to bind that business to these Terms, and “you” refers to that business.
1. The Service
Bellows provides tools for managing customer relationships, scheduling, automated messaging, AI-assisted content, and related workflows for small businesses. Each customer account (a “tenant”) operates in its own isolated workspace. We may update, add, or remove features over time.
2. Accounts and eligibility
- You must provide accurate account information and keep it current.
- You are responsible for safeguarding your login credentials and for all activity that occurs under your account.
- You must be at least the age of majority in your province or territory and able to form a binding contract.
3. Acceptable use
You agree not to use the Service to:
- Send unsolicited commercial electronic messages, or otherwise violate Canada’s Anti-Spam Legislation (CASL) or any other applicable law;
- Upload, store, or process personal information without a lawful basis and any consent required under applicable privacy law;
- Transmit malware, attempt to gain unauthorized access, or disrupt the Service;
- Infringe the intellectual property, privacy, or other rights of any third party; or
- Use the Service to harass, defraud, or harm others.
4. Customer data and your responsibilities
As a tenant, you retain ownership of the contact records, messages, and other data you upload or generate through the Service (“Customer Data”). You are the party responsible for that Customer Data: you are accountable for obtaining and maintaining any consents, providing any notices, and honouring any opt-out or access requests required by law for the individuals whose personal information you process through the Service. We act as a service provider that processes Customer Data on your behalf and on your instructions, as further described in our Privacy Policy.
5. Electronic messages and CASL
The Service can send commercial electronic messages (such as email and SMS) on your behalf. You are solely responsible for ensuring you have the required consent (express or implied) from each recipient, for accurately identifying yourself as the sender, and for honouring unsubscribe requests promptly. The Service provides unsubscribe and do-not-contact mechanisms; you must not disable, bypass, or circumvent them.
6. Third-party services
The Service relies on third-party providers (for example, hosting, AI, email, and messaging vendors) to operate. Your use of the Service may be subject to those providers’ terms, and their availability is outside our control. A current list of key sub-processors is described in our Privacy Policy.
7. Intellectual property
The Service, including its software, design, and content (excluding Customer Data), is owned by Babz Studios and its licensors and is protected by applicable laws. We grant you a limited, non-exclusive, non-transferable right to use the Service in accordance with these Terms. You grant us the limited rights needed to host, process, and display Customer Data for the purpose of providing the Service to you.
8. Fees
Fees, if any, and the related billing terms are set out in a separate order or agreement between you and Babz Studios. Unless otherwise agreed in writing, fees are non-refundable except where required by law.
9. Disclaimers
The Service is provided “as is” and “as available,” without warranties of any kind, whether express or implied, to the maximum extent permitted by law. We do not warrant that the Service will be uninterrupted, error-free, or secure, or that AI-generated content will be accurate. You are responsible for reviewing any content before it is sent or published.
10. Limitation of liability
To the maximum extent permitted by law, Babz Studios will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, data, or goodwill, arising out of or related to your use of the Service. Nothing in these Terms limits liability that cannot be limited under applicable law.
11. Suspension and termination
You may stop using the Service at any time. We may suspend or terminate your access if you breach these Terms or if necessary to protect the Service, other users, or comply with law. On termination, your right to use the Service ends; we will handle Customer Data as described in our Privacy Policy and any applicable order.
12. Governing law
These Terms are governed by the laws of the Province in which Babz Studios is established and the federal laws of Canada applicable therein, without regard to conflict-of-laws rules. The courts located in that Province will have exclusive jurisdiction, subject to any non-waivable rights you may have under applicable consumer-protection law.
13. Changes to these Terms
We may update these Terms from time to time. If we make material changes, we will take reasonable steps to notify you. Your continued use of the Service after the changes take effect constitutes acceptance of the updated Terms.
